This is China Sunergy’s initial public offering. China Sunergy is offering 8,500,000 American depositary shares, or ADSs. Each ADS represents six
ordinary shares.
Prior to this offering, there has been no public market for the ADSs or our ordinary shares. The ADSs have been approved for listing on the Nasdaq
Global Market under the symbol “CSUN.”
Investing in the ADSs and ordinary shares involves risks that are described in the “ Risk Factors” section beginning
on page 9 of this prospectus.
