论文首先对欧盟公司法的立法背景欧盟法律规范体系作了简要介绍并侧重介绍
了欧盟公司法方面的法律规范接着论文围绕欧盟公司法关于公司设立的法律制度进
行了分析着重对“第 1 号公司法指令”和“第 2 号公司法指令”的相关条款进行了详细的
分析并由此探讨了欧盟公司法的一些独特的法律特征欧盟公司法是在两***系的强
烈影响下建立和发展的反映了其对两***系的融合与平衡在相关法律问题上都作
了柔性的规定具有相当的灵活性欧盟公司法是协调各成员国的公司法的产物主要
通过指令的方式协调各成员国的公司法促使各成员国的相关法律规定趋于一致在考
察欧盟公司法在各成员国的实践的基础上本文进一步探讨了欧盟公司法对我国公司法
的修改与完善的启示提出了完善我国公司法的一些的思路论文的最后一部分对全文
进行了总结

Abstract
The European integration calls for uniform market rules. Company law
is one of the most urgent rules that need to be regulated. This paper,
focused on the legal system of incorporation, studies the distinctive features
of pany laws and explores their illuminations on pany
law.
This paper first gives us a brief introduction of the current study of EU
company laws in China as well as its significance. Clarifications on related
concepts are also provided in this part. The second part reviews the
development background of pany laws, and explains the legal
structure of EU laws and the actual laws relating to enterprises. The third
part examines related articles of First Council Directive and Second Council
Directive with details. Based on the analyses of the two Directives, the
fourth part further studies the distinctive features of pany laws. The
fifth part advances three proposals for pany law based on
above analyses: seeking the balance between reinforced regulation and
flexibility pany law; establishing institution of Nullity of pany;
improving the capital regulations at the time pany is incorporated.
The last part makes a conclusion.
