复星医药、青岛啤酒并购惯性对比分析

摘
要: 本文通过对复星医药、青岛啤酒两家上市公司并购发展轨迹的研究发现, 惯性在两家企业的成长历程
中发挥了主导作用; 惯性作用在不同企业以及同一企业不同成长阶段的表现存在明显差异。由此, 本文提出
从并购惯性发展方向及发展动量两个层面对惯性模式进行度量的观点。研究发现两家企业的并购惯性动量
均呈现出先增强, 再减弱的变化趋势, 这种并购惯性动量的倒 U 型变化, 有利于企业在实施系列惯性并购后,
通过有效的资源整合, 实现企业运转效能的提高。

A Study on the Conceptual Framework of M&A Inertia

Abstract: After review ing the historical M& A route of Fosun Pharmaceuticals ( Group) Corpora
tion and Tsingtao Brewery Corporation, this paper finds out that inertia has played a leading role
in the corporations development. How ever, M & A inertia takes on different ex pressions from
one corporation to another, and even at various phases of the same corporation s ow n grow th cy
cle. T herefore, the paper proposes a method of inertia measurement in terms of direction and mo
mentum level. As is found, both of the corporations level of inertia m anifests a tendency of an
initial increase and then a slow decrease. The change of inverted U
shape curve is helpful for the
