论文提要
企业并购是企业扩大规模增强竞争实力的重要手段但通常情况下大多
数企业并购决策都是基于企业间业务技术财务等看得到的企业资源能否实现
互补而忽视了文化制度等方面的因素尤其是文化整合然而与组织技
术管理整合相比企业文化是隐性的且根植于员工头脑之中的实现其整合相
对要困难得多如果并购重组后的企业不能快速成功地完成文化整合就会导致
企业内的矛盾与冲突由于文化冲突引发的这些问题并购不仅达不到预期效果
还有可能因处理不当而影响企业运行效果甚至可能拖垮并购企业随着跨国公
司在华并购活动的日益增多紧接着而来的就是并购成功以后的整合跨国公司
与被并购的我国企业能否实现真正的融合是跨国公司在华并购能否成功的关键
本文的研究重点集中在文化整合方案制订阶段的文化整合模式及其选择上首先
阐述国内外理论研究者在文化整合模式方面的研究成果然后以此为理论分析工
具对跨国公司在华并购后如何选择文化整合模式进行深入探讨希望对以后将
会大量进行跨国公司在华并购有一定的借鉴作用

Abstract
Corporate merger and acquisition is an important means for an enterprise to
enlarge its operation scale and increase petitive strength. However, most
merger and acquisition decisions were usually based on the business, technology and
financial factors and neglected the corporate culture factors. The surge of merging
activities of the present world has seen a high rate of failure; one main reason is that
there is a lack of consideration for the post-merger culture integration. The failure of
post-merger culture integration will lead to the conflict inside the corporate, and
finally impact the whole merging strategy. Now in China the merging activities taken
by a lot of multinational corporations have been rapidly increased, post-merger
culture integration also has taken more important role in such activities. Since
choosing the appropriate post-merger culture integration mode is the essence of the
whole strategy, the paper will focus on how to select and apply the right culture
integration mode. First this paper will introduce the relative theories provided by a lot
of famous domestic and overseas researchers. Then we will analyze how to choose
and apply the appropriate culture integration mode taking above research results as
