商业特许经营法律问题初探

摘要: 近年来商业特许经营作为一种可以迅速扩张规模的商业模式在中国发展迅猛。为与国际
接轨, 规范我国特许行业的经济秩序, 我国出台了第一个关于特许经营的法律法规———《商业特
许经营管理条例》。介绍了特许经营在我国的发展历程和现状, 其次简述了商业特许经营的法律
定义及其特征, 阐述了商业特许经营中双方当事人的法律关系, 明确了在进行特许经营活动中签
订商业合同的必要性。最后论述了我国特许经营的立法现状。

Abstra ct : Nowada ys Fr anchise Busine ss , as a rapidly e xpanding business model , develops very
swiftly in China. Regulations of the People’s Republic of China o n Franc hise Business , which i s the
fir st rule of law abo ut Fra nchise Business , is promulga te d in order to obey the inte rna tional rules
a nd standar dize our rela ted economic or der s. In this t hesis , I fir st introduce the development history
a nd p rese nt situation of Fra nchise Busine ss in China , and t hen briefly recount t he definition a nd
c haracte r of Franchise Business. I elaborate the legal relationship s betwee n t he two pa rtie s a nd the
importa nce of signing a contract . Finally , the actual sta te of legislation about Fra nchise Business in
China is discussed.
