还盘定义
还盘又称反要约或新的发盘,是指受盘人在接到发盘后,对发盘的内容不完全同意,为了进一步协商,反过来向发盘人提出需要变更内容或建议的表示。
形式
还盘可以是口头也可以是书面,一般与发盘的形式相同
内容
可以针对价格、品质、数量、交货时间与地点、支付方式等
受盘人还盘时不能完全不同意发盘的条件,否则,就是拒绝而不是还盘。一项还盘就是受盘人向原发盘人提出的一项新的发盘
法律意义
还盘行为的意义,实际上就是还盘人要求原发盘人答复是否同意还盘人提出修改的交易条件。这样,原受盘人成了新的发盘人,还盘就成了新的发盘,而原发盘人则成了新的受盘人,原发盘随之失效。
如果对方提出的是某种希望、请求,但在法律上不构成还盘,即原发盘对原发盘人的约束力依然存在,此时可视为发盘已经被接受了。

Definition:
Counter offer is also called a new offer. Namely, When an offeree has received an offer, he disagrees or does not agree totally the conditions put formed in the offer. In order to consult farther, the offeree proposes the suggestions to amend or alter some terms of the offer.
Forms
A counter-offer can be made h verbally or by written forms, which are similar with an offer.
