文档介绍：NON-DISCLOSUREAGREEMENTPartyA:Add:Zipcode:Tel:E-Mail:PartyB:GreatWallAutomobileCo.,LtdAdd::Tele:0312-E-Mail:******@InconsiderationofthenecessaryofdisclosingconfidentialinformationeachotherintheprocessofthecooperationofCHB071-eADproject,promotingthecooperationbetweenbothparties,clearingtheconfidentialresponsibilitiesofbothsides,thetwopartiesconsultedonequalfooting,:1)为协议双方约定目的或涉及约定目的所在领域由披露方向获取方提供的一切装置、图表、书面资料、源程序、数据或者其它以各种有形载体记录的资料;2)其它通过口头或视觉披露且在披露时经披露方明示该资料为保密的并在通过口头或视觉披露后三十日内(包括30日)以有形载体记录、标明“保密”字样并交于获取方的,则也认定为该资料是保密资料。Cofidentialinformationshallmean1)allequipments,charts,writtenmaterials,sourceprograms,dataorothermaterialswhichsavedbyvisiblecarriers,2)othermaterialswhichhadbeendisclosedinoralorvisibleform,andthedisclosingpartyhadnoticedthatthismaterialisconfidentialwhenithadbeendisclosed,andafterit’soralorvisibledisclosurethismaterialhadbeensavedinvisibleform,markedby‘cofidential’,giventoreceivingpartywithin30days(including30days).保密期限:经协议双方协商,约定获取方在该期限内不得向任何第三方透露其所获取的对方的保密资料,且不得将获取的保密资料用于协议双方约定目的以外的任何目的。Periodoftheconfidentialityshallbediscussedbytwoparties,andshallbeagreedthatwithinthisperiod,thereceivingpartyshallnotdiscloseconfidentialinformationtoanythirdparty,andshallnotusetheconfidentialinformationforanypurposeotherthanthisagr
