ManitobaandtheSERVICEPROVIDERagreeasfollows:-esintoeffectonAGREEMENTDATEandshallcontinueuntilCONTRACTENDDATEunlessdelayed,suspendedorextendedbeyondthatdateunderSection16orterminatedbeforethatdateunderSection17.-COMPOSITIONOFAGREEMENTANDCONFLICTSTheAgreementconsistsofthisdocumentandthefollowingSchedulesattachedhereto:Schedule“A”–TheTermsofReference;Schedule“B”–ServiceProvider’sResponsetotheTermsofReferencedescribingtheServices;andSchedule“C”–ServiceProvider’,thetermsandconditionsofthisdocumentshallprevailoverthoseintheSchedulesandthetermsandconditionsofSchedule“A”shallprevailoverthoseinSchedule“B”,whichshallprevailoverthoseinSchedule“C”.ThedefinitionscontainedintheTermsofReferenceapplytothisAgreement.-SERVICESTOBEPROVIDEDTheServiceProvidershallprovideManitobawiththeservicesforPROJECTNAME–PROJECTLOCATION–PROJECTDESCRIPTION(the“Services”),asmoreparticularlydescribedinSchedules“A”and“B”attachedhereto,,iftheServiceProviderreceivesaninstructionfromManitobaorencountersaneventorachangeinconditionthat,intheServiceProvider’sopinion,maychangethescopeoftheServicestobeprovided,theServiceProvidermustnotifyManitobaoftheinstruction,,’,eventorchangeinconditionchangesthescopeoftheServices,themethodologythattheServi
