文档介绍：中文摘要随着现代经济的发展,人们日益认识到公司治理在经济发展中的重要意义。由于一元制公司治理存在的固有缺陷,独立董事制度在美国产生。该制度从产生起,就成为理论界和实务界共同研究的热点问题。随着实践的证明,独立董事制度被认为是改善公司治理的良方,开始在很多国家实行,引发了一场全球范围内的“独立董事革命”。我国属于三角制的公司治理结构,实践中,原有制度下承担监督职能的监事会并没有发挥作用,形同虚设,上市公司丑闻不断。由于公司治理的混乱,我国急需引入独立董事制度以填补公司中的监督权缺失。新《公司法》颁布后,我国从法律层面上正式确立了独立董事制度。应该看到,独立董事制度不是包治百病的灵丹妙药,不能期望其能解决公司治理的所有问题,但实践证明,独立董事确实发挥了比监事会更好的作用。另外,独立董事制度作为一种制度设计,本身存在不完善之处,引入我国后,还存在一系列制度移植下的本土化问题,独立董事制度的作用在我国并没有发挥到位,仍需完善。本文针对这些尚待完善的问题,在前人研究的基础上作了进一步的思考,提出自己的建议。本文第一部分用历史考察的方法,考察了独立董事产生的背景和发展的历程,发现独立董事制度已经在许多国家确立下来;而后分析了我国公司治理混乱的现状,认为我国也有引入独立董事制度的必要。第二部分采用比较研究的方法,比较分析了美国独立董事制度的立法与实践、日本公司法的修改与独立董事制度的引进以及德国的监事会制度,认为一元制公司治理模式相对来说较为有效,独立董事制度是一元制下完善公司治理的内在需求;而监事会与董事会平行的三角制公司治理模式是最无效的,通过加强监事会职权并不能解决公司治理失效问题。日本引入独立董事的探索过程最能说明以上结论,对我国也最有借鉴意义。第三部分采用了理论分析与实证分析的方法,立足我国国情,认为独立董事发挥了一定的作用,但仍存在一些问题——积极资格的设定不完善,投入工作的时间、精力过少,报酬设计不完善,评价体系不完善等。第四部分针对以上问题,提出了自己的完善建议。关键词:公司治理独立董事制度完善ABSTRACTWith the development of modern is a growing awarenessthat the corporate governance plays an important rule in the to the inherent flaws of the one—tier system incorporate governance,the independent director system came into beingin then on,the system has e a hot issue in thetheoretical and practical the demonstration in independent director system is considered to be a significantimprovement in corporate governance,and begins to be put into practicein many last the system caused the“independent directorrevolution”booming all over the china,the board of supervisors did not play any role ofsupervision and many corporations involved in of thechaotic management,it is urgent for our country to introduce the systemof independent director to fill the loss of the corporation’Ssupervisory the promulgation of new”Corporation Law”,our country has formally established a system of independent directorin the level of should be noted that it is not a panacea,andit can not solve all the proble
