文档介绍：摘要摘要竞业禁止制度起源于西方发达国家。其最初设置的目的是雇主对雇员所采取的以保护商业秘密为目的的法律保护措施。随着市场竞争的激烈化,其适用范围逐渐扩展,目前已经成为各国民商法中不可忽视的一种法律制度。随着我国市场经济改革不断深入,人才流动目益频繁,竞业禁止制度的重要性也引起了广泛的重视。本文在总结前人对竞业禁止制度的研究基础上,试图立足于我国经济与社会实际发展情况,对竞业禁止的概念、竞业禁止制度的法律关系、我国竞业禁止制度的现状与缺陷进行探讨,并对完善我国竞业禁止制度的缺陷提出自己的~点思考。除去引言和结论,正文分为三个部分: 第一部分是竞业禁止概述,首先介绍了竞业禁止的概念和基本分类(主要对以往已有的关于竞业禁止的概念和基本分类的观点进行介绍),、客体、内容的界限。最后针对把竟业禁止等同予对商业秘密保护的观点进行分析,对两者之间的不同作了比较。第二部分在澄清关于竞业禁止的一些基本概念基础上,对中国竞业禁止制度进行了解析。首先介绍了我国竟业禁止制度的现状,然后对中国竟业禁止之目的进行了反心。在剥’中国竞业禁止之目的进行反思之后,再回头来看中国竞业禁止制度的缺陷,即试图找出目前中国竞业禁止制度实际情况与设置竟业禁止制度所要达到目的之间的差距。第三部分是本文的重点部分,即对完善我国竞业禁止制度的思考。需要说明的是本部分主要涉及的是公司法中的竞业禁止,同时对于在其他法规中加强对竞业禁止协议的法律干预也提出了自己的意见。先从竞业禁止主体的角度出发,分别分析了董事、经理、监事和股东竟业禁止义务之完善。其中特别关注了2005年新提交人大常委会审议的公司法修改草案中关于独立董事的规定,对独立董事是否应该承担,以及如何承担竞业禁止义务提出了自己的看法。随后针对如何加强对竟业禁止协议的法律干预,确保合理性和完善纠纷处理机制两方面(两个角度)作了阐述。关键词:竞业禁止商业秘密法律完善 Abstract Abstra【ct The petition system haditsspring inweNern developed , it setup as alegal measure toprotect thebusiness secret the petition grow,the areas it carl e an important regulation inCivilLaw.
