ManitobaandtheESPagreeasfollows:-esintoeffectonAGREEMENTDATEandshallcontinueuntilCONTRACTENDDATEunlessdelayed,suspendedorextendedbeyondthatdateunderSection16orterminatedbeforethatdateunderSection17.-COMPOSITIONOFAGREEMENTANDCONFLICTSTheAgreementconsistsofthisdocumentandthefollowingSchedulesattachedhereto:Schedule“A”–TheTermsofReference;and,Schedule“B”–ESP’,thetermsandconditionsofthisdocumentshallprevailoverthoseintheSchedulesandthetermsandconditionsofSchedule“A”shallprevailoverthoseinSchedule“B”.ThedefinitionscontainedintheTermsofReferenceapplytothisAgreement.-SERVICESTOBEPROVIDEDTheESPshallprovideManitobawiththeengineeringservicesforPROJECTNAME–PROJECTLOCATION–PROJECTDESCRIPTION(the“Services”),asmoreparticularlydescribedinSchedules“A”and“B”attachedhereto,,iftheESPreceivesaninstructionfromManitobaorencountersaneventorachangeinconditionthat,intheESP’sopinion,maychangethescopeoftheServicestobeprovided,theESPmustnotifyManitobaoftheinstruction,,’,eventorchangeinconditionchangesthescopeoftheServices,themethodologythattheESPproposestoaddressthechange,whattheeffectofthechangeistotheworkscheduleandmustitemizeanychangetothefees,disbursementsandexpensespayable
