我国上市公司股利政策和公司治理关系的实证研究
摘要
股利政策是现代公司理财的三大核心内容之一,是公司内外部利益相关者关注与分歧
的焦点。随着资本市场的形成与发展,它不再仅仅是公司内部进行资金配置的重要手段,
而且已成为公司管理者调控股价、平衡各方面利益的重要财务战略,所以股利政策在实质
上既是财务问题,又是公司治理问题。因此,研究公司股利政策与公司治理的关系,探讨
影响股利分配的主要治理因素,具有重要的理论意义和现实意义。
本文首先对股利政策和公司治理的理论发展进行了回顾和评价;其次,介绍了我国上
市公司现金股利分配的现状和公司治理概况,从我国上市公司的治理模式入手,对上市公
司的治理特征进行了分析,进而从公司治理的角度深入分析了我国股利分配的现状及成
因;再次,本文基于 CSMAR ER 数据库,以沪深股市 A 股公司为样本,选取了 17 个公
司治理变量,对其进行了因子分析,把这些变量归为不同的类别,重新定义归类后的变量,
再分别对其建立 Logistic 回归模型,对我国上市公司现金股利分配与公司治理的关系进
行了实证研究,研究发现:股权集中度、董事会规模、公司财务透明度都对现金股利的分
配产生重要影响;最后,论文对规范和完善我国上市公司股利分配行为提出了对策建议。

THE EMPIRICAL ANALYSES OF THE RELATION BETWEEN
DIVIDEND POLICY PANGY GOVERANCE OF
PANIES IN CHINA
ABSTRACT
The dividend policy is one of the three core problems in pany’s financial
activities and the focus of attention and divergence to the concerned inside and outside a
company. Along with the formation and development of the capital market, the dividend policy
is not only a mere important means for capital allocation inside pany, but also an
important financial strategy used by managers to control share prices and balance interests of all
parties. Therefore, the dividend policy is essentially a matter of financial affairs, as well as a
matter pany governance. Thereby, it is of practical significance to study the distribution
motive of the cash dividend policy of the panies and main governance factors
influencing dividend distribution from the perspective of corporate governance.
This thesis firstly reviews and appraises the development of the theories of dividend policy
and corporate governance. Secondly, the thesis introduces the current situation of the cash
dividend distribution and the general situation of the governance of the panies. From
