文档介绍：委托理财合同研究中文提要委托理财合同研究中文提要委托理财合同作为一类新兴的合同,在我国合同领域一直存在较大争议,本文通过对目前我国委托理财合同的相关法律问题进行总结和分析,谨慎地提出自己一点粗浅的看法,希望能对委托理财合同的完善尽点微薄之力。本文分为七部分。第一部分是引言,阐述委托理财合同研究的意义。第二部分是委托理财的发展历程及现状。回顾委托理财的发展历程,明确我国委托理财市场存在的诸多问题。第三部分是委托理财合同的概念和性质。该部分从委托理财合同的概念入手,通过分析与类似合同的区别,得出我国委托理财合同应为无名合同的结论,在法律适用上应参照无名合同的适用规则。第四部分是委托理财合同的主体。该部分重点对存在争议的主体资格问题进行了探讨,并得出以下结论:违法犯罪分子、未取得“合格境外机构投资者资格’’的境外机构投资者、违规入市的银行法人为非法主体, 不得从事委托理财业务;国有企业、上市公司在不违反法律、法规的前提下,应具备委托人的主体资格;非金融机构团体和个人受托人不应具备受托人的主体资格。第五部分是委托理财合同的生效条件。该部分首先介绍了委托理财合同的一般生效要件, 而后又从主体问题、理财产品审批问题、资金来源非法问题和保底条款效力问题入手, 结合强制性规定对合同效力的影响,对委托理财合同的生效进行了研究。研究表明, 不同的管制规则功能是不同的,对委托理财合同效力产生不同的影响。第六部分是委托理财合同中权利义务配置,分别介绍了委托人和受托人各自享有的权利和所应承担的义务。第七部分是完善委托理财合同的建议。通过前述分析,针对委托理财合同中存在的问题,从立法、监管和规范受托人行为方面提出几点建议,以便完善对委托理财合同的规制。关键词:委托理财、委托理财合同、合同生效、权利、义务作者:刘霞指导教师:张鹏(副教授) Abstract Investment Contract Research 乃wstInvestment ContractResearch Abstract As anew contract,trust lnvestment contract hasbeen acontroversialtopic inthefield of contract for along attempts tomake prehensive analysis and summary on some legal issuesof our trustinvestment contract,cautiouslyputs forward some own viewpoints intermsoflawcontractionsandrisks inChinese trustinvestment contract.
