文档介绍：对外经济贸易大学硕士学位论文论股权强制执行姓名:赵勇申请学位级别:硕士专业:法律·公司法指导教师:王晓川 20071001 摘要在执行工作中,常遇到被执行人作为公司的股东,除其在公司中的股权外己无其他财产可供执行的情况,因此对其股权的强制执行便成为司法实践中人民法院必然面对的新课题。股权的执行既涉及申请入和被执行人的利益,也涉及公司和其他股东等案外人的利益,执行方式、执行力度的采用均直接对这些利益主体产生影响。实践中,存在许多执行混乱的现象,加重了目前社会普遍存在的“执行难”问题。因此,对这些问题进行总结归纳,并在分析现行法律规范存在的缺陷和弊端的基础上,提出完善立法的建议,具有非常迫切而又十分重要的意义。本文就我国现行股权强制执行的法律制度进行研究,主要就股权强制执行的基本原理进行阐述,从股权的概念着手,明确股权的性质及法律特征,并结合不同观点的评析,强调股权依法可以成为强制执行的标的。针对股权执行的标的类型作划分,根据我国的法律规定,说明股权执行应遵循的程序,并对当前我国股权执行制度存在的各种问题作了归纳,就现行股权强制执行制度存在的问题逐一作了剖析,从理论上查找存在这些问题的根源。加强股权强制执行立法的重要性和紧迫性,并为在完善立法中解决这些问题提出自己的见解。建议完善股权执行机制、保护债权人和其他人的合法权益、保护股东的优先购买权、建立股份的场夕}交易制度等等。关键词:股权,强制执行,立法完善 Abstract hltheiudicialimplementation process,we oRen encounter situations thatthe was no implementable possession except forhisshare right in acompany,SO enforeement ofshare es an inevitable issuethatPeople’S Court willmeet in enforcement ofshare right notonly refers tothe interestofapplier’Sand the one beapplied,but alSOrefers totheinterestsof otherswho were out ofthecase pany andothershare holders,and both theway and strength ofenforcement beadopted . therearemany orderless implemental behaviors,which make the current generally difficult enforcement be more summarize and generalize these problems,and propose suggestions forperfect thelegislation onthebasis ofanalyzing thedisadvantages of current laws,are very urgent andofgreatsignificance. This Paper studies our current legal institutions ofshare enforcement,mainly describes thebasic theory ofshare enforcement,and clearsshareright’Sidentity and legal characteristics byanalyze thedefinition ofsharefight,and according tOanalysis of different that share right can e theobject of paper also generalizes thetypes ofshare right enforcement,and illustratesthe procedure of sharefight enforcement according to our laws,then separately analyzes theproblems thatexistin current right enforcement
