中小企业融资法律问题研究

摘要

中小企业融资难是困扰各国经济理论界、实业界和政府相关部门的
世界性难题。在我国,由于受特殊的历史背景影响,问题更为突出,融
资法律体系的不健全,这是我国中小企业融资缺乏保障的现实条件,也
是本研究所要触及的核心问题。
从国外经验看,中小企业融资都有着很完善的法律体系,包括政策、
法律、法规、金融服务、贷款担保、多层次的资本市场。为了探索如何
以国情条件为基础,解决好我国中小企业融资中存在的问题,改善融资
状况。本研究在明晰相关概念、提出科学界定我国中小企业的标准、综
析当前中小企业融资基本状况的基础上,通过对中小企业融资国际法律
状况的比较研究分析,以及对我国中小企业融资进行的实证分析,明确
了造成当前中小企业资金短缺和国有银行存在着大量不良资产等问题的
原因之一,即:我国中小企业融资法律体系不健全,中小企业融资没有
配套的法律法规,信用担保体系不完善和缺乏多层次的资本市场。本研
究针对现代企业制度建立与中小企业融资法律体系的健全、完善信用担
保体系,制定《中小金融业法》,建立多层次资本市场,促进中小企业融
资,这样几个对保障中小企业融资有着决定性影响的问题,开展了较深
入的研究,并提出了建立完善的中小企业融资信用担保法律体系,制定
《中小金融业法》,同时在以《中小企业促进法》为基本法的基础上进行

相关法律的细则制定。
上述研究,在中国经济正处于体制转轨阶段、资本市场亟待发育完善、
法律体系急需健全,社会主义市场经济理论体系尚待建立完善的今天,
无疑具有较强的实践指导意义和较高的学术价值。

ABSTRACT
Small and medium-sized enterprises financing difficult to perplex of
various countries economic theory circle , business circles , government
relevant world difficult problem of department. Influenced by special
historical background in our country, the question is more outstanding ,
financing legal system is imperfect, this is that financing of small and
medium-sized enterprises of our country lacks the realistic condition ensured,
it is the key problem that this research institute should touch too.
By the look of external experience, all there is a very perfect legal
system in the financing of small and medium-sized enterprises, including the
policy , laws and regulations , financial service , loan guarantee , multi-level
capital market. In order to explore how to be based on national conditions
condition , solve the problem that exist in the financing of small and
medium-sized enterprises of our country well, improve the financi
