文档介绍：摘要 liillllliillllllllililill Y20471 00 竞业限制是世界各国协调、平衡市场主体之间各自权益、扼制无序竞争的一项重要法律制度。在当代社会,保护商业秘密权和保护劳动者利益都很重要。对商业秘密的保护是基于保护财产权利和促进经济的发展,而对劳动者利益的保护主要是基于保护其劳动权并进一步保护其生存权。竞业限制可以划分为法定竞业限制和约定竟业限制两类。本文仅研究劳动法上约定的竞业限制。由于竞业限制制度在保护企业商业秘密的同时,又侵害了劳动者的工作权、自由权和生存权。因此竞业限制协议是否有效,实质上是劳动者劳动权和自由权与企业财产权的冲突问题。本文首先分析我国劳动合同中竞业限制的基本问题以及现状,我国现行法律法规虽规定了竞业限制的基本内容:即竞业限制的主体、内容和法律责任,但对具体的实施细则却没有统一的立法规定,只有各地区的行政规制,这样就随地区的发达程度不同而有所区别,导致与人才的流动不受地域限制相冲突;其次,从比较法的角度,结合其他国家和地区的立法和司法实践,对劳动合同中竞业限制诸问题(义务主体、地域范围、协议效力、经济补偿等)进行逐一探讨,作为成文法国家,我国应该在广泛吸收西方成文法国家竞业限制制度精华的基础上,明确规定竞业限制协议的效力与合理性判断标准,以求适用上的统一以及利益的衡平;最后,对如何完善我国相关制度提出建议。关键词:竞业限制;利益平衡;合理限制 Abstract Prohibition ofbusiness strife is akey law system ineach country oftheworld toadjust and balance interest and petition of each market majority. In modern society, protect merc ial secret right and interest oflaborer are both to mercial secret isbased on protection of assets right and development ofeconomy promotion, but to protect laborer’S interest i sbased on labor’S right protection and itsfurther survival of business strife can beclassi fied as legal and promi sed ones. The article only studies the promised one oflabor to that prohibition of business strife system while protects business secret pany,it harms working right,l iberty right and survival right of laborer..Therefore,whether the agreement of prohibition of business strife iseffective or not,which actually isthe confl ictproblem between working and liberty right oflaborer and asset right article firstly analyses the basic problem and actual ity and prohibition ofbusiness strife oflabor contract,although the present law of the state have regulated basic content of prohibition ofbusiness strife,and there is no general law or regulat ions concerning about execut ion detai ls but the administrative regulations ofdifferent areas,therefore,it develops differently due to area difference,which leads to confl ict of talents flow having no area restriction
