文档介绍：分业监管体制下金融控股公司躲管的法律问题摘要随着金融全球化进程的逐步加快和金融创新活动的日益活跃,全球的金融风险也在逐渐升级。金融控股公司是我国金融分业经营体制下实现混业经营的一种组织创新模式。金融控股公司运用规模经济优势,通过对内部资源的分类、整合、策划和调配,节约了交易成本,实现了资源稳用的优化配置,增强了金融机构的竞争力。然而,由于金融控股公司具有相对复杂的法入结构、业务活动结构以及管理结构,金融控股公司的发展也带来了一系列特殊的风险,主要包括:利益冲突风险、内部关联交易风险、资本安全的风险、简财务杠杆比率的风险、不透明结构风险、监管真空风险和垄断风险等。目前,我国金融业实行的是分业经营、分业监管体制,而金融控股公司则是金融韭混业经营的组织形式,其经营业务至少涉及银行业、证券业、保险业等金融业中两个不羼的行鲎。金融控股公司的发展绘我国现行的分监监管体制带来了臣大的挑战。我国法律尚来明确规定金融控股公司的法律地位,不畿综合评估金融控股公司的风险,监管部门还未对其监管建立相应制度,存在着监管真空和监管重叠现象,难以对其实施有效的监管。因此,在分业监管体制下对金融控股公司有效监管,首先应加快制定我国的《金融控股公司法》,完善监管体系,明确监管内容。其次,严格金融控股公司的市场准入和市场退出监管,引入风险预警枫铡。在金融控股公司的志部控制方面,要完善金融控股公司中公司治理结构, 加强内部控制措施的建立,构建“防火墙’’制度。我外,要强化国际阅监管的合作,真正发挥金融监管防患于未然的作用。关键词:金融控股公司;金融风险;分业监管法律硕十学位论文 Abstract With the speed—up of financial globalization and the increasing animation of financial innovation,the global financial risks are also gradually pany is a new mode anization innovation to achieve a mixed operation under our divided operation employing the advantages of scale economy to classify,integrate,plan and deploy the internal resources,the financial panies have saved the transaction costs,achieved the optimal allocation of resource utilization and enhanced petitiveness of the financial institutions,thus have brought huge profits forthe ,a series of specific risks go with the development of financial pany,due to its plex corporate structure,business activities structure and management risks cover benefit conflict risks;capital security risks;the high ratio of financial leverage and thedifficulty to gauge the capital adequacy of financial conglomerate;internal affiliated transaction risk;opaque structural risk;information disclosure risk;monopoly riskand SO on.
