摘要
当前我国商业特许经营市场的现状不容乐观,主要表现在:特许经营市场主体
的不成熟性、特许经营市场主体关系的不对等性、商业特许经营的表面化、市场中
欺诈现象严重。造成我国商业特许经营市场上述问题的原因是多方面的,本文只探
讨立法上的原因。笔者认为我国目前的商业特许经营监管制度存在如下问题:我国
商业特许经营特许人资质制度和备案制度存在不足;我国商业特许经营信息披露制
度存在不足;行政处罚乏力且形式单一;商业特许经营相关配套制度和体系不完善。
我国现代商业特许经营活动是伴随着对外开放而出现的商务活动。为了更好的规范
这种商务活动健康和有序的发展,我们有必要借鉴国外商业特许经营活动中政府监
管的有益做法和经验,从而使我国监管制度得以完善。本文主要介绍和评价日本和
马来西亚这两个典型国家的商业特许经营政府监管法律制度。通过对特许经营市场
现状的梳理、对我国现有政府监管制度的反思和对国外政府监管制度的借鉴,笔者
提出对我国商业特许经营活动进行“全程监管”的理念与观点。目前我国政府对特
许经营监管属事后监管的范畴,其监管的效果以及有效性不足且乏力。笔者认为现
阶段我国应当在现有法规规范的基础上,针对新情况、新问题,完善其商业特许经
营中我国政府监管的法律制度,逐步实现“全程监管”的政府职能,以维护商业特
许经营市场秩序,以促进其健康、有序的发展。

Abstract
The current franchise market in China is still not optimistic, mainly reflected in:
the immaturity of the principal;The relationship between the main bodies is unequal.;
The superficiality mercial franchise. The serious fraud in market. Among the
multiple reasons for these problems, this article only focuses on those in legislation. The
writer believes that China's current business franchise regulatory system has the
following problems:China'mercial franchise franchisee qualification system and
filing system is too weak ; The defective information disclosure system. The
administrative penalty in the form is single, and maneuverability is not strong; The
imperfect supporting system. Our mercial franchising activities,
panied by China's opening up, are a new kind of business activities. In order to
make it develop in a healthy and orderly way, we need to improve our regulation system
mercial franchising activities through learning from other countries. This paper
introduces two typical regulation systems representing Japan and Malaysia. Through
franchising market sort out the status quo, to our existing system of government
