文档介绍：I 竞业禁止制度研究摘要当今社会分工越来越细,人才流动频繁发生,而人才的流失导致企业商业秘密泄露的现象普遍存在,势必使企业的核心竞争力受到影响, 企业的竞争优势也随之丧失。竞业禁止制度作为一种对推定损害事先防范的制度,在西方一些国家早已被广泛运用,而我国的竞业禁止制度虽然在个别单行法规中略有涉及,但仍不成体系,因此亟待完善竞业禁止制度中所面临的立法缺陷。本文首先对竞业禁止制度的概念、特征以及法定竞业禁止和约定竞业禁止作了简要的介绍,然后对比研究国内外竞业禁止制度的发展沿革, 并充分结合违反竞业禁止的构成要件和法律责任,进一步剖析了目前我国竞业禁止制度存在的问题,从而提出了完善我国竞业禁止制度的立法建议。关键词:竞业禁止,法定竞业禁止,约定竞业禁止,商业秘密 II THE RESEARCH OF THE PERFECTION OF BUSINESS STRIFE ABSTRACT Now social division of labor is getting smaller. The promotion of talent flows frequently. But the brain drain caused the phenomenon of corporate disclosure mon business secrets. It will affect the petitiveness of enterprises and will lose their competitive advantage. In some western countries prohibition of business strife as an advance guard of the presumption of damage have been widely used. But China's only involved in few regulations. It does not form the system. So it needs improvement of prohibition of business strife. Firstly, the thesis introduces the concept of the prohibition of business strife, characteristics, and legal prohibition of business strife, contractual prohibition of business strife. Then the thesis compared the development of domestic and foreign prohibition of business strife and fully integrated elements of breach of essentials and legal responsibility. Finally the thesis analyze the current problems in China's prohibition of business strife system III and raise feasible suggestions for related letter of legislations. KEY WORDS :prohibition of business strife, legal prohibition of business strife,contractual prohibitionof business strife, trade secret 1 引言随着社会主义市场经济体制的确立和改革开放带来的经济高速发展,企业在发展中的相互竞争越来越激烈。如何在平衡相关利益的基础上,通过规则性和秩序性的设定,在实现企业等相关利益的同时,对公民的自由择业权给予合理的保障,从而实现社会利益的最大化,非常的及时和必要。在西方一些国家广泛应用的竞业禁止制度,通过消除侵权者赖以侵犯的职业依托和社会角色支撑来维持公平的市场秩序,起到平衡协调各方利益的作用。但我国关于竞业禁止的规定虽然在个别单行法律法规中初见端倪,但总体上尚未形成一个完整的体系。因此针对这种现状,分析竞业禁止制度的特点,无论在理论上或实践中都具有十分重要的意义。本文从研究竞业禁止制度的基本概念及国内外对竞业禁止
