文档介绍：第三章汇票本章导读: 一、汇票的定义二、汇票的必要记载项目三、汇票的其他记载项目?一、汇票的定义|| ?英国票据法第 3条给汇票下的定义是: A bill of Exchange is an unconditional order of writing, addressed by one person to another, signed by the person giving it, requiring the person to whom it is addressed to pay on demand or at a fixed or determinable future time a sum certain in money to the order or specified person or to bearer 。(汇票是由出票人向另一人签发的,要求即期、定期或在可以确定的将来的时间,向某人或其指定人或来人无条件支付一定金额的书面命令)。?我国《票据法》第 19 条对汇票下的定义是:汇票是指签发人签发的,委托付款人在见票时或者在指定日期无条件支付确定的金额给收款人或持票人的票据。?二、汇票的必要记载项目?我载下列事项,表明“汇票”字样;无条件支付的委托;确定的金额;付款人名称;收款人名称;出票日期;出票人签章。汇票上未记载这些规定事项之一的为无效汇票。?日内瓦统一票据法还把付款日期、出票地点和付款地点也作为汇票必要项目。?现将这些项目分别阐述如下: ? ?汇票上必须写明“汇票”字样,如: Bill of Exchange; Exchange; Draft 等。例: “ Exchange for US$100 ”或“ Draft for US$100 ”(金额为 100 美元的汇票)。这样有利于与其他支付工具如本票、支票相区别,有利于实际业务中的使用和操作。日内瓦统一票据法第 1条、第 2条规定: 汇票应有记载其为汇票之文句,否则汇票无效。但英国票据法无此要求。? ?汇票是一项付款委托书,英国票据法称之为“书面命令”( order in writing ) , 是出票人要求付款人无条件支付一定金额的命令, 而不是一项请求。必须使用英语的“祈使句”, 如: Pay to John Smith …或 Pay to A Co. Or order …(支付 A公司或其指定人…)等等。当然,这并不排除使用礼貌用语,如加上 Please 亦可。但绝对不能使用“虚拟语气”,如“ Would you please pay to …”, “ I shall be please if you would pay …”这类句子已不是命令而只是请求,将使汇票失效。?汇票的支付命令必须是无条件的,凡是附有条件的命令也将使汇票失效,因此不能使用“ Pay to … providing ”和“ Pay to … on the condition that …”这类语句, 如“ Pay to A Co. the sum of five thousand US dollars providing the goods they supply are complied with contract ”(如果 A公司供应的货物符合合同,支付给它们 5000 美元), 或如“ Pay to the order of … providing that they submit certificate of quality …”(如果…提交质量书,则付给…指定之人)等语句都将使汇票无效。?根据《英国票据法》第3条第 3项,凡要求从某一特定资金中付款的命令,这不能视为无条件的命令,不能被接受,如, “ Pay to A Co. out of the proceeds in our No. X account the sum of five thousand US dollars ”(从我们的 X账户存款中支付给 A公司 5000 美元) , 是不能被接受的。但若指明特定资金是付款人用以偿还自己的,或指明将其金额借记某账户的,仍属无条件命令,如, “ Pay to A Bank or order the sum of five thousand US dollars and change/debit same to applicant ’s account maintained with you ”(支付给 A银行或指定人 5000 美元,并将此金额借记申请人在你行开设的账户),仍是有效汇票。? ?汇票即现金的代表,其所代表的现金
