文档介绍：上市公司持续信息披露制度初探(法律硕士学位论文摘要) 专业:法律硕士研究方向:经济法作者姓名:陶瞢指导教师:顾功耘教授在所有的商业交易中,证券交易最具风险性。世界各国都针对证券市场的脆目B性进行了专门立法,以规制证券发行和交易。而综观证券法上各项具体制度构建,信息公开原则以其证券立法的核心地位被内化于各项制度之中,其中二级市场中的持续信息披露更是规范上市公司信息对证券投资价值作出判断的根本保证。本文通过理论联系实际的研究方法,对我国持续信息公开制度进行分析和研究,以期利于正当证券市场的健康发展。本文由四章组成,第一章“持续信息公开制度概述”主要论及持续信息公开制度的法律依据、建立的必要性、衡量标准。第二章“持续信息公开的主体与内容”具体论述持续信息公开制度的义务主体、公开信息内容及与其他国家、地区的比较。第三章“违反持续信息公开义务的法律责任”述及义务违反之责任构成及具体责任形式。对义务违反行为追究法律责任,是持续信息公开制度的保障。我国立法所规定的行政责任、民事责任、刑事责任三种责任形式中,仍存在规定不周延的缺陷,故应借鉴相关立法加以完善。第四章“我国持续信息公开制度焦点问题探析”对目前我国持续公开制度中存在的焦点问题进行分析,指出立法缺陷及救济措施。文章最后的结语,提出本文应继续探讨的问题。关键词:持续信息公开主体与内容法律责任立法缺陷救济措施 Abstract Of allthebusinesses activities,securities exchange involves highest majority munities have established special laws inthe light ofthevulnerability inthestock market SO as tointeract securitiesexchange and atthesame acomprehensive view ofitsestablishment mercial instance,the publicinformation disclosure inthe securities model Sa'ves theexample forthe second class securities market in continuous publicinformation disclosure,which isalsotheprinciple assurance for judging the valueofthe pany ininvesting the stock. 111epaper studies our countryIs continuous publicinformation disclosurefor thepurpose ofdeveloping awelldisclosed system ofstock market.
