FACILITY AGREEMENT 贷款协议
"LIBOR" means the British Bankers' Association (the "BBA") Interest
Settlement Rate for . Dollars for the relevant Interest Period which appears on
the “3750” page, or such other page for the purpose of displaying such rate of
interest, of the Reuters screen on the Quotation Day for such period. If the
agreed page is replaced or service ceases to be available, the Lender may specify
another page or service displaying the appropriate rate after consultation with the
Borrower. “伦敦银行同业拆借利率”是指英国银行家协会（以下简称为
“BBA”）针对美元在相关计息期的结算利率，相关计息期详见第“3750”
页或路透社为公布该利率于计息期报价日在银屏显示的其它页面。如果上
述页面被替换或服务终止，贷款行与借款人协商后可指定另一页面或服务
以公布合适利率。
"Loan" means a loan made or to be made under the Facility or the principal
amount outstanding for the time being of that loan. “贷款”是指已进行的或即
将进行的融资贷款或当时所欠付的本金金额。
"Margin" means Two point Eight percent (%) per annum. “保证金”为每
年百分之二点八（ % ） 。
"Material Adverse Effect" means, in any respect of any event or circumstances
(or combination thereof), an effect which materially impairs, or is reasonably
likely materially to impair: “重大不利影响”是指对以下内容的任何方面造
成或可能造成重大损害的任何事件或情况（或二者兼备）：
(a) the ability of the Borrower to perform and comply with any of its
payment or other material obligations under this Agreement; 借款人履行
并遵守本协议项下有关付款或其它重要义务的能力;
(b) the ability of the Borrower to perform and comply with its material
obligations under the Contract; 借款人履行并遵守本合同项下重要义
务的能力；
(c) the business, operation or financial condition of the Borrower which, in
each case, is, or could reasonably be expected to be, materially
prejudicial to the interests of the Lender under or in connection with this
