反不正当竞争法一般条款具体化研究
兼论《中华人民共和国反不正当竞争法》的完善

摘要：反不正当竞争法一般条款系规范性法律概念，它一方面具有灵活性，另一方面也具有不确定性的特征。克服其不确定性有赖于法官在司法中对一般条款中的“诚实信用”和“善良风俗”等抽象概念具体化为判决规范。与德国瑞士两国的立法、司法相比较，《中华人民共和国反不正当竞争法》存在缺乏定义性规范和授权性规范、保护法益有悖于立法旨意、“诚实信用”原则错位等缺陷，使法官在审理相关案件时对一般条款解释空泛，适用不当。因此，我们应参照瑞士法关于一般条款的结构，并借鉴德国法关于一般条款的司法经验，修订《中华人民共和国反不正当竞争法》一般条款，并使之具体化。
