我国上市公司独立董事制度运行情况研究
摘要:独立董事制度是完善上市公司治理结构的重要举措。自 2001 年中国证监会颁布《关于在上市公司建立独立董事制度的指导意见》以来,独立董事制度已在我国上市公司中正式近十年。本文选题旨在研究独立董事制度运行的现状如何,还存在怎样的问题,具有较好的理论价值与实践指导意义。文章首先对独立董事制度的相关基础理论进行系统梳理,深刻剖析了独立性的本质内涵,在此基础上,利用国泰安CSMAR中的公司治理结构数据库,从独立董事的人数,教育背景、参加董事会情况,发表意见情况、薪酬等方面,深入分析了我国独立董事制度运行的现状及其存在的问题,并剖析了问题的成因,最后提出了相应的完善我国上市公司独立董事运行机制的对策建议。

Abstract:Independent director system is an important measure to improve the governance structure of panies. Since the CSRC issued "The guidance on establishing the Independent Director System in panies" in 2010, the Independent Director System has been officially ran in panies in China more than a decade. The article focus on how the Independent Director System operates and what kind of problems there still exists which has much theoretical value and practical significance. This issue first systematically sorts out the underlying theories of independent director system and analyses the nature of independence. On this basis, by using the database of corporate governance structure in CSMAR, I deeply
