文档介绍：摘要I摘要随着全球经济的不断发展,集团公司也随之发展壮大,集团公司的规模与大小一定程度上决定了国家的经济实力。我国自2001年加入WTO至今,集团公司得到了较快发展,涌现出许多大型集团公司,并在激烈的市场竞争中逐渐发展与壮大,形成了一批具有国际竞争力的集团公司,对我国经济发展发挥了重要的促进作用。集团公司对子公司的管控水平关系到集团公司的整体水平和竞争力,如何有效加强对子公司的管控,已经成为理论界和实务界共同关注、探讨的重点。本文通过将一些理论成果应用到实践中去,同时实地调研了多家大型集团公司,提出了以战略先行,建立责任中心,围绕管控重点来开展工作的管控思路,辅助以合适的管控模式和手段的理论体系。本论文主要采用规范分析法和案例分析法相结合的研究方法。首先,本文分析了集团公司对子公司管控的相关文献,同时对所研究对象的进行了概念界定,分析了相关的理论基础;其次,着重分析了集团公司对子公司管控的影响因素,从外部因素和内部因素两方面来进行分析;再次,在分析影响因素的基础上,构建集团公司对子公司管控的体系框架,包括管控构建的思路、模式的选择和主要手段;最后,在管控体系框架的基础上,分析了云南白药集团对子公司管控的现状,提出了存在的问题以及解决的对策。研究的主要特色和创新主要为:采用了经济学理论、公司治理理论、契约理论和产权理论等系统研究了集团公司对子公司管控的理论体系。本文以分析集团公司对子公司管控的影响因素为起点,提出了对子公司管控的思路、模式和重点,最后选取了云南白药集团进行案例分析,论证了理论的可操作性和实施效果。关键词:集团公司管控子公司体系AbstractIIAbstractWith the continuous development of global economy and corporation development,the scale 0f pany and itssize to a certain extent he country's economic strength.
