除非本协议另有特别规定，否则下列术语应具有以下含义：
Unless otherwise specifically provided in this Agreement, the following terms shall have the following meanings:
“关联方”，就法律实体而言，指不时控制该法律实体、受该法律实体不时控制或与该法律实体不时受共同控制的任何其他人。
"Affiliate" means, with respect to a Person, any Person that Controls, is Controlled by or is under common Control with such Person from time to time.
“适用法律和条例”指所有国家、地方、外国或省级机构的法律、规则和条例、任何监管机构的任何指南、指引和监管要求，以及任何适用于本协议所拟议或根据本协议所从事之活动的不时有效的行业行为守则。
"Applicable Laws and Regulations" means all national, foreign or provincial laws, rules, regulations, as well any guidance, guidelines and requirements of any Regulatory Authorities and any industry codes of practice in effect from time to time applicable to the activities performed under or contemplated by this Agreement.
“行为守则”指阿斯利康不时生效的行为守则。可在以下网址获取有关该守则的信息：
"Code of Conduct" means the AstraZeneca Code of Conduct available at , as in force from time to time.
“保密信息”指披露方的商业秘密及所有其他专有及/或保密性质的信息，包括:
"Confidential Information" means all information constituting a trade secret and all other information of a proprietary and/or confidential nature belonging to the Disclosing Party, including:
财务或业务信息、业务计划、规划或战略、商业惯例和商业关系、公司政策、程序、惯例或程序、制度、运营方法或营销计划；
financial or business information, business plans, projections or strategies, business practices and relationships, corporate policies, procedures, practices or processes, systems, methods of operation or marketing plans;
研究、开发或其他调查活动；
research, development or other investigative activities;
监管惯例、程序或政策；
regulatory practices, procedures or policies;
产品信息、规格、配方、成分、定价政策、营销计划、产品费用或促销活动；

product information, specifications, formulas, ingredients, pricing policies, marketing plans, product costs or promotional activities;
有关客户、供应商或员工方面的信息或协议；
