应委托方要求，协助委托方和被并购企业办理必要的审批、登记和备案手续（如需）。
第二条 受托方的义务
（一）受托方指派 律师，作为经办律师，委托方同意上述经办律师偕同其他律师和律师助理配合完成前述法律事务工作（如必要），但受托方更换上述经办律师应取得委托方认可；
（二）受托方经办律师应当按照其专业标准勤勉、尽责地完成第一条所列法律事务工作；
（三）受托方经办律师应当依法维护委托方合法权益；
（四）受托方经办律师应当在取得委托方提供的文件资料后，及时完成委托事项，并应委托方要求通报工作进展；但因委托方原因致使受托方无法按时完成委托事项的,受托方不负责任。
（五）受托方律师对因从事本合同规定的法律顾问服务而获知的委托方商业秘密和与本项目有关的其他非公开的信息、资料负有保密责任，非由法律规定或者委托方同意，不得向任何第三方披露；
（六）受托方对本合同规定的法律顾问服务应当单独建档，根据律师事务所档案管理规定保存完整的工作记录。
委托方的义务
（一）及时、真实和完整地向受托方提供与本项目有关的一切必要的信息、文件、资料的副本或复印件，并保证该副本或复印件与正本或原件一致。委托方保证承担由于其提供的上述基础文件、材料及信息有误从而导致受托方出具不恰当的意见或证明而产生的后果和责任。

（二）委托方应当为受托方经办律师办理本合同约定的法律服务提出明确、合理的要求并给予合理的工作时间。
（三）委托方应当按本合同规定的时间和金额，按时、足额向受托方支付法律顾问费和工作费用。
（四）委托方指定[ ]为联系人，负责转达委托方的指示和要求、提供文件和资料等，委托方更换联系人应当及时通知受托方经办律师。
（五）委托方有权对委托事项作出独立的判断、决策。受托方经办律师提供的法律意见与建议仅供委托方参考，委托方并无义务遵从受托方经办律师的意见或建议。
第四条 法律服务费、工作费用（由双方协商确定）
委托方应就本合同规定的法律服务向委托方支付法律服务费人民币[ ]万元（￥[ ]，或等值外币）。该等法律服务费应按如下期限和金额支付给受托方：[ ]。
