企业法律顾问应当履行下列义务：
（一）遵守国家法律法规和有关规定以及企业规章制度，恪守职业道德和执业纪律；
（二）依法履行企业法律顾问职责；
（三）对所提出的法律意见、起草的法律文书以及办理的其他法律事务的合法性负责；
（四）保守国家秘密和企业商业秘密；
（五）法律、法规、规章和企业规定的应当履行的其他义务。
二、企业总法律顾问
企业总法律顾问，是指具有企业法律顾问执业资格，由企业聘任，全面负责企业法律事务工作的高级管理人员。企业总法律顾问对企业法定代表人或者总法律顾问负责。大型企业设置企业总法律顾问。
企业总法律顾问应当同时具备下列条件：
（一）拥护、执行党和国家的基本路线、方针和政策，秉公尽责，严守法纪；
（二）熟悉企业经营管理，具有较高的政策水平和较强的组织协调能力；
（三）精通法律业务，具有处理复杂或者疑难法律事务的工作经验和能力；
（四）具有企业法律顾问执业资格，在企业中层以上管理部门担任主要负责人满3年的；或者被聘任为企业一级法律顾问，并担任过企业法律事务机构负责人的。
