甲乙双方在平等互利的根底上，遵循老实信用的原那么，通过友好协商达成如下协议：
一、软件产品
乙方许可甲方使用的软件产品：猫眼三维看世界
二、质量标准
乙方保证所许可的软件产品符合中华人民共和国有关法律、法规规定及所附文档的功能说明。
三、软件版权及使用权
本合同许可的是软件使用权，许可使用的软件产品版权属公司所有，并受?中华人民共和国著作权法?和其他有关法律、法规的保护。
甲方按本合同条款规定支付合同书上所列条款支付使用费，乙方授予甲方上述软件产品的合法使用权。
四、软件使用费
甲方按照实际使用的工程向乙方支付的软件使用效劳费，具体按照工程完成所需工时乘以每小时效劳费〔效劳标准：100元/小时〕
五、付款
1、甲方每次要求乙方制作并上传模型后7个工作日内将效劳费打到乙方账户。如甲方未将款项支付至乙方银行指定账户，导致乙方未收到软件效劳费，视同甲方未支付。
2、如果甲方自行制作模型并上传，无需支付软件效劳费。
六、限制规定
1、乙方许可甲方使用的软件产品，只限于甲方本身使用，未经乙方书面同意，甲方不得将协议项下的权利或信息转让给任何第三方，包括甲方的关联公司。
2、未经乙方公司书面授权，甲方不得将授予的软件使用权进行出租、销售、转让或非存档目的的拷贝及其他商业用途。
