ENGAGEMENT LETTER

乙方: 云南亮剑律师事务所
Party B:
(以下简称“甲方”)同意聘请云南亮剑律师事务所(以下简称“乙方”)为其常年法律顾问并办理本合同约定的法律业务,经双方协议,订立以下条款,共同遵守履行:
(hereinafter referred to as Party A) agrees to retain Yunnan LiangJian Law Firm (hereinafter referred to as Party B) to be long-term legal counsel and to render the legal services stipulated under the contract. Therefore, through friendly negotiation both parties conclude as follows:
/ Contents of Long-Term Legal Service
本合同项下,乙方向甲方提供如下法律服务:
Party B renders the legal services to Party A under the contract as follows:
就甲方公司的商业经营活动提供法律咨询和建议;
To provide legal consultation and suggestions according to Party A’s business operation;
按甲方要求就有关投资、开发等经营活动提供中国法律法规;
To provide PRC laws and regulations on investment, development, etc upon Party A’s requests;
按甲方要求出具律师函;
To render letter of attorney upon Party’s requests;
审查、修改或拟定甲方所提供的合同、协议和其他法律文件;
To review, revise or draft contracts, agreements and other legal documents presented by Party A;
1. 5 按甲方的要求出席董事会等有关的会议活动;
To attend board meetings and other meetings upon Party’s request;
负责甲方日常经营中的其他法律事务。
To deal with other legal issues regarding daily operation.
/ Contents of Specialized Legal Services
除上述常年法律服务外,乙方亦可向甲方提供以下专项法律服务:
In addition to the long-term legal services mentioned above, Party B is also able to render the specialized legal services as follows:
对外直接投资、融资、并购、直接或者间接上市等公司事务;
To deal pany’s affairs including direct Investment, financing, company merger and acquisition, listing Issues (direct or indirect)
参加与甲方有关争议的诉讼、仲裁活动及生效司法文书的申请执行;
To attend litigation, arbitration related to Party A and to apply for performance of effective judicial documents;
受甲方委托办理重大项目的非诉代理;
To act as non-litigation agent of important projects when entrusted by Party A;
受甲方委托对公司重要行为进行见证;
To pany’s important actions when entrusted by Party A;
受甲方委托参与公司对外商务谈判;
