摘要
近几年,私募股权投资基金(简称为PE, Private Equity)已经成为了一个热门话题,作为一种新兴的投资形式和投资组织,慢慢成为了我国社会经济生活中一个重要的组成部分而不断被人们所熟悉与了解。随着我国金融体制改革与金融创新业务的不断深化与发展,已经初步建立起了多层次资本市场体系并得到日益完善,PE私募股权投资基金作为其中一种重要的金融工具,也正在发挥着日益重要的作用。如何正确认识、理解和运用PE投资工具,对云南省国民经济健康持续稳定发展、Y企业健康发展而言,都有着十分现实和深远的意义。本文正是基于这样的现实环境和发展需要,并结合作者所在的PE投资公司的工作经验,运用科学、合理的研究办法,借助最新的行业发展数据、运作流程分析及政策法规的深入研究,来梳理和总结我国PE发展的理论内涵、外在形式、发展特征等内容,以期待能够为自己所在的公司及同类行业企业在投资运作方面总结出一套合理、有效的运作模式,为区域经济的发展以及公司的经营效益的提高做一些有意的探索和总结。本文围绕我国PE投资运作流程的各个环节,即组织、筹集、投资、管理和退出这一主线,结合云南省PE发展的法律环境和现实环境,来具体说明

Abstract
In recent years, Hereinafter referred to as the PE, Private Equity has e a hot topic, as a new form of investment and anization, gradually became our country an important part of social and economic life and continuously to be familiar with understanding. Along with our country financial system reform and financial innovation deepening and development of the business, has initially established a multi-level capital market system more perfect and get, PE private equity funds as one of the important financial tool, is playing an increasingly important role. How to correctly understanding and the understanding and use of PE investment tools, healthy and steady development of national economy in Yunnan province, Y for the healthy development of the enterprise, has a very realistic and far-reaching significance.
