本指南根据?中小企业私募债券试点登记结算业务实施细那么?制
定,适用于上海证券交易所〔以下简称“上交所〞〕?中小企业私募债
券业务试点方法?规定的中小企业私募债券〔以下简称“私募债券〞〕
的登记、结算业务。除有特别规定外,私募债券涉及的登记、结算业
务适用本公司?证券账户管理规那么?、?证券登记规那么?以及其他登
记结算相关业务规那么办理。
第一局部发行登记
一、债券发行登记
私募债券发行人在转让前需到本公司办理登记手续。私募债券发
行人办理证券登记业务前应先与本公司签订?证券登记及效劳协议?、
?委托代理债券兑付、兑息协议?等有关协议。
本公司根据发行人申报的数据办理私募债券登记。
〔一〕所需材料
发行人或其委托的承销商申请办理初始登记时,应当提交以下申
请材料:
1、?证券登记表?;
2、上交所出具的私募债券发行?接受备案通知书?;
3、承销协议;
4、具有从事证券业务资格的会计师事务所出具的关于私募债券
发行人全部募集资金到位的验资报告;
5、私募债券担保协议(如有);

6、已完成发行的私募债券持有人名册;
7、发行人最近年检后的法人营业执照副本原件及复印件、法定
代表人对指定联络人的授权委托书;
8、指定联络人有效身份证明文件原件及复印件;
9、发行人委托承销商办理初始登记的,还应提交授权委托书;
10、本公司要求提供的其他材料。
〔二〕办理流程
1、私募债券发行人在备齐上述材料后,向本公司提出债券发行
登记申请;
2、本公司审核上述相关材料,在核准受理后两个交易日内完成
私募债券登记,并向私募债券发行人出具?证券登记证明?。
〔三〕私募债券发行登记考前须知
1、本业务指南提及业务申请表单的格式,可参见本公司网站公
布的“中国结算上海分公司发行人登记部业务申请表格〞

2、债券持有人名册清单数据格式及说明。
〔1〕数据库采用FOXPRO(.dbf)或EXCEL数据库文件,以转让证券
代码作为数据库名称.(如:)

③身份证号〔TRNSFZH〕:填投资者的有效身份证明文件号码。
二、债券兑付兑息
根据私募债券发行人与本公司签订的?委托代理债券兑付、兑息
协议?,私募债券发行人可委托本公司代理发放私募债券兑付兑息款。
〔一〕所需材料
私募债券发行人应在债券兑付、兑息登记日前八个工作日向本公
司提交以下材料:
1、?委托代理债券兑付兑息申请表?;
2、拟刊登的债券兑付或付息的公告;

〔二〕办理流程
1、私募债券发行人应在委托本公司办理私募债券兑付兑息业务
前与本公司签订?委托代理债券兑付、兑息协议?;
2、私募债券发行人送交申请材料;
3、如申请材料需修改,本公司最迟在登记日前五个工作日通知
私募债券发行人进行修改;
4、私募债券发行人应根据税前兑付兑息总金额及时办理汇款,
确保资金最迟在发放日前第二个交易日划入本公司指定的收款银行
账户;
5、本公司在确认资金已足额到账的前提下,最迟于发放日前一
工作日进行兑付兑息发放操作;
6、私募债券发行人将申请材料原件邮寄至本公司。
〔三〕私募债券兑付兑息业务考前须知
1、私募债券发行人委托本公司代理所发债券的兑付兑息业务,
每百元兑付兑息金额取至小数点后第2位,、

2、私募债券的兑息权益登记日为兑息发放日的前一交易日,兑
付权益登记日为到期日前第三个交易日。在权益登记日日终,私募债
券持有人名册中列示的投资者享有兑息、兑付权益。
3、私募债券发行人提交的申请表必须为打印稿,手写无效。
4、私募债券发行人应确保实施公告内容与提交的申请材料内容

5、私募债券发行人应确保将兑付兑息资金最迟于发放日〔即兑
付兑息日〕前的第二个交易日16:00前划入本公司指定的银行账户。
为确保资金及时到账,建议发行人在汇款时尽量选择在同行之间划
款,并在汇款凭证资金用途栏注明“债券代码及××债兑付兑息款〞。
兑付兑息款汇出后,私募债券发行人应及时主动与本公司业务经办人
员联系,确认汇款资金是否及时到账,防止因资金未及时到账而影响
兑付兑息款的按时发放。
6、私募债券发行人不能按时将兑付兑息款足额汇至本公司指定
的银行账户,造成兑付兑息违约的,应及时通知本公司并最迟于发放
日在中国证监会指定报刊上发布公告。本公司将终止相关兑付兑息协
议,不再提供代理兑付兑息效劳。后续偿付工作由发行人自行办理。
7、未办理指定交易的私募债券持有人,其持有私募债券的兑付
兑息款暂由本公司保管,不计息。一旦投资者办理指定交易,本公司
结算系统自动将尚未领取的兑付兑息款划付给私募债券持有人指定
交易的结算参与人。
8、私募债券兑付兑息资金需划付至本公司指定的收款银行账户,
账户信息可参见本公司网站公布的“中国证券登记结算有限责任公司
