Nondisclosure Agreement
为防止定义如下的保密信息未经授权的披露,总部位于________ ___________ _______的___________________(“披露方”)与位于____________________的___________________“接受方”)签订本保密协议(本“协议”)。双方同意就一定的私有和机密信息(“保密信息”)的披露达成保密关系。
This Nondisclosure Agreement (the “Agreement”) is entered into by and between ______________________________with its principal offices at ______________________________(“Discloser”) and_________________________, located at___________________________ (“Recipient”) for the purpose of preventing the unauthorized disclosure of Confidential Information as defined below. The parties agree to enter into a confidential relationship with respect to the disclosure of certain proprietary and confidential information (“Confidential Information”).
1. 保密信息的定义。就本协议而言,“保密信息”包括本协议下所有由披露方披露或提供给接受方的书面信息(包括但不限于电子邮件和其他电子形式的文件)、口头信息和材料,无论这些信息是在本协议签订之前还是之后提供给接受方的,也不管这些信息是以何种方式提供给接受方的。
1. Definition of Confidential Information. For purposes of this Agreement, “Confidential Information” shall include all written (including, but not limited to email and other documents in electronic format) and oral information and materials disclosed or provided by the Discloser to the Recipient under this Agreement regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Recipient.
