论公司僵局的法律救济

摘要
基于有限责任公司的“人合性”和“封闭性”的特征,公司僵局的发生就不
可能避免,随着公司的发展越来越迅猛,这种僵局现象的发生率也在随之不断
的提高。但是在公司法颁布之前,人们意识上的缺失和法律上的空白,导致的
是公司、股东和社会等方面利益受到严重损害。2005 年公司法在一定程度上关
注了公司僵局这个现象,在法条中简单规定了一些可以说是解决的方法,但是
要做到充分的理解公司僵局的理论基础及形成原因,做到熟练及有效的解决公
司僵局,仅仅靠现行公司法上如此简单的法条是远远不够的,要想从根本上破
解公司僵局,靠的不仅是法律法规的规定,还要从制度上和程序上进行细致的
规定。要想彻底的解决公司僵局,不能说某个国家的措施是先进的,某一种手
段是万能的,只有在充分的分析了解公司僵局的实际情况后,进一步结合本国
的司法环境,才能选择一种或几种有效的方式去解决。
公司僵局产生的原因多种多样,发生的阶段层次也各不相同。国外解决公司
僵局的措施主要是通过股权置换、推选独立董事、任命第三人管理公司、司法
解散、仲裁等手段,这些措施的理论基础对于我国制定解决公司僵局的措施有
一定的借鉴作用,但是如果将这些措施本身直接应用到我国的实践中,各方面
的条件还是不太成熟。基于我国的实际情况,在现阶段可以适用的措施主要有
公司章程规制、股权置换、司法解散等,这些措施在适用的时候也不是任意选
择的,而是要有一个孰先孰后的次序,只有在公司内部救济穷尽及其他手段不
能奏效时,才能选择最为严厉的司法解散措施。

Abstract
Based on limited pany’s People Trust and Closed feature,
company cannot avoid the occurrence of deadlock, as pany developing more
rapid, the incidence of such deadlock phenomenon also has been improved along. But
before the pany Law was promulgated, lack of people’s consciousness and
legal gaps, caused pany, shareholders and society which interests was
seriously damaged. The phenomenon pany deadlock has concerned in the new
Company Law. Article in the law simply rules that can be said to be the solution,
however, to achieve full understanding of the theoretical basis pany deadlock
and causes, to pany deadlock effectively, alone by the pany
Law is not enough, To solve pany deadlock thoroughly, Not only depend on
law and regulation, But also rely the system and procedure’s detailed requirements.
