21世纪网络的发展给传统商务带来了巨大的冲击,电子商务应运而生,成为一种崭新的商业模式。网络迅捷性和电子化等特点,使电子商务在很多方面有别于传统商务。作为电子商务的核心内容之一的电子合同,在合同成立、效力、以及合同履行的纠纷处理方面与一般的合同都有着比较大的差别,法律适用也出现了一定的困难。
本文主要着眼于电子合同的特点,结合《合同法》、《电子签名法》以及相关的国外立法,对电子合同成立、效力、纠纷处理方面特有的法律问题做深入的研究,而对于电子合同所具有的一般合同的特点,本文将不作过多阐述。故,本文第一章主要阐述电子合同的概念和特点,并说明了世界各国在电子合同方面的立法概况,为下文的详细论述打下基础。第二章阐述电子合同的成立,主要涉及电子合同的当事人、电子代理人、电子签名和认证等问题,说明网络的匿名性及网络信息传递的迅捷给电子合同成立带来的变化。第三章陈述电子合同的效力,主要论述电子合同中常见的格式条款的效力以及电子合同基于网络交易对消费者的特有的保护。第四章主要就电子合同中特有的电子意思表示错误和数据电文的证据效力进行讨论。笔者希望对上述电子合同特有的法律问题的研究,能够对《电子签名法》的适用,以及电子合同的司法实践有所帮助。
作者认为:《电子签名法》的颁布为电子商务的安全提供了法律保障,但我国法律在电子合同成立、效力,以及电子合同中消费者保护、电子商务经营者责任等方面仍有待改善。
