破产重整制度探析

内容摘要
本文从理论与实践相结合的角度出发,对我国破产立法的最新成果—破产重整制
度,分五个部分进行了分析。第一部分:引言。重点介绍了本文的研究背景、研究方法
和研究目的。概括而言,由于我国仍处于从计划经济向市场经济的转型时期,市场经济
体制尚不完善,因而决定了我国的破产重整制度必然具有过渡性和局限性。所以,本文
综合运用了历史、比较、规范、逻辑等多种方法,既尊重现有的立法成果,力图准确把
握法律条文的涵义,又注意把握其中存在的问题及其发展趋势,希望能为司法实践提供
有益的参考。第二部分:破产重整制度概述。主要对破产重整制度的概念、性质、特征
等基本内容进行了分析,并对破产重整与相关概念进行了辨析。第三部分:国外破产重
整制度。在简要回顾破产重整制度的历史沿革的基础上,重点介绍了美国、英国、法国、
德国、日本五个国家的破产重整制度,对它们之间的异同点作了比较分析,并由此得出
了几点启示,从而为下文分析我国破产重整制度树立了参照系。第四部分:我国破产重
整制度的基本内容。该部分从立法的角度,对我国破产重整制度的立法沿革、立法模式、
基本特色及其缺陷作了分析,指出对我国破产重整制度所存在的问题不能以西方发达国
家为普适性标准,简单地予以批判,而应从经济转轨和社会转型的时代背景出发,予以
同情式的理解。第五部分:我国破产重整制度的司法实践。对司法实践中存在的问题作
了归纳,提出了相关意见和建议。

Abstract
From of the point of bination view of theory and practice in this paper, the
bankruptcy anization system, being as one of China's latest achievements of bankruptcy
legislation, is analyzed into five parts. Part I: introduction. This part focuses on the research
background, methods and purposes. Generally speaking, due to China’s transition period from
a planned economy to a market economy, the market economy system is not perfect; and
which inevitably decides China’s bankruptcy anization system has its own transitional
nature and , this paper uses the multi-methods of historical, comparative,
standardized, logic and others. As a result, not only the existing legislation is respected, but
also the meaning of the law is accurately grasped. Meanwhile, the legislation problems and
development trends are covered, and a useful reference is provided for judicial practice. Part
II: an overview of bankruptcy anization system. The concept, nature and characteristics
of the basic content of bankruptcy anization system are mainly analyzed, and the concept
