企业并购的财务风险分析及防范对策研究
摘要:企业并购是伴随经济全球化不断深入而形成的一种必然趋势,它能够给企业带来潜在的效益。从企业并购的特征和国内外企业并购的实践以及企业并购的动因来看,并购是一种投资行为,它可以是为了追求规模经济,可以是为了实现多样化经营,也可以是为了获得先进技术和管理经验等,但其目标只有一个,即追求企业利润的最大化。而企业并购也是一项高风险的资本经营活动,而财务风险是并购过程中的主要风险,应当对财务风险进行有效识别、管理和防范,尽量减少财务风险带来的损失,通过切实有效的风险管理,来实现并购收益最大化。

Abstract:With the developement of the economic globalization, enterprise merger is ing a necessary trend,which can bring the potential benefits to the enterprise .From the characteristics of enterprise merger ,the practice of the enterprise merger at home and abroad and the motivation of enterprise merger ,we can see that merger is a kind of investment can be seen a measure to pursue the scaled economy, to achieve diversification, and to acquire advanced technology and management , the goal is the only one, namely, to pursue maximum profits. However, enterprise merger is a high-risk capital management activities, and more important is that the financial risk is the main risk in the process of the merger. So, we should effective recognization , management and in this way,can we try to reduce financial risk , In the way of the practical and effective risk management,the enterprise can realize the enterprise merger 's maximum be
