高新技术企业价值研究评估研究
——基于北斗星通公司的案例研究
摘要:自20世纪90年代以来,随着计算机网络、生物工程、新材料、航空航天技术的兴起和发展,引发了经济增长模式、经济运行规律的变化,在世界范围内诞生了一大批高新技术企业。特别是 2009年 10月在深圳启动的创业板市场,为我台,同时也为广大投资者提供了新的投资领。高新技术企业的价值大小是投资者最为关心的焦点之一,也是投资者投资成败的关键因素。高新技术企业价值由现有资产价值和衍生机会价值构成,传统价值评估方法能准确评估现有资产价值,而忽视衍生机会价值。我国有关高新技术企业价值评估方法的探讨尚未形成完整、成熟的理论体系。为完善高新技术企业价值评估方法,应用理论分析与案例分析、定量分析与定性分析相结合的方法展开研究,主要内容包括:
(1)现有企业价值评估方法评析部分,在论述高新技术企业及其评估方法概念的基础上,分析现有各种估价方法的适用性,说明我国传统企业价值评估的方法。
(2)高新技术企业价值评估方法构建部分,首先评估高新技术企业价值驱动因素;分别用折现现金流量法评估现有资产的价值,简单介绍实物期权定价法用于评估高新技术企业价值。
(3)案例分析部分,以北斗星通公司为例进行构建方法的应用研究。在价值评估过程中,应用了定量分析工具。用趋势外推法预测销售收入,确定经营年限以及折现率,运用现金流量法对北斗星通公司进行价值研究。
(4)结论与展望部分,总结了研究工作的重要意义、存在的问题和有待拓展之处。
