企业并购包括兼并和收购两层含义,是指企业通过购买另一企业全部或部分资产或产权,从而影响、控制被并购的企业,以增强企业竞争优势,实现经营目标的行为。随着全球经济一体化和区域化的进程加快,企业要想在激烈的市场竞争中求得生存和发展,必须依靠资本运营,而企业并购已成为资本运营的主要形式,成为企业实现产业结构调整,优化资源配置、扩大经济规模、提升企业核心竞争能力的重要途径。然而,企业并购作为企业资产重组的一种重要形式,作为企业成长的一种方式,在给企业带来机遇和盈利的同时,也蕴藏着巨大的风险。因为并购过程中存在大量的不确定因素,而且风险存在于并购的整个过程之中,任何一个环节出现问题,都可能导致并购的失败。由此可见,企业并购的成功与否关键在于规避并购风险的工作是否处理妥善。本文主要从企业并购风险的定义、种类及其特征,企业并购各阶段的风险分析以及企业并购风险的防范对策三个方面进行阐述的。
本文首先简单地介绍了一下一些企业并购风险的相关理论,然后从企业并购的筹划、实施、完成三个阶段对企业并购风险进行分析,主要有战略风险、估价风险以及并购后的整合风险等。企业并购风险的防范对策涉及到多方面的内容,这里主要是根据前一部分所分析出来的这些风险提出了针对性的防范对策。

Enterprise merger including mergers and acquisitions two meanings, it is to show enterprise by buying another enterprise all or part of the assets or property, thus influence, control the merged enterprise, to enhance petitive advantages of an enterprise, and achieve operational target behavior. long with the global economy integration and regional process accelerated, enterprise want to in the petition in the market for survival and development, must rely on the capital operation, and the enterprise merger has e the main form of capital operation, e the enterprises to realize the industrial structure adjustment, optimize the allocation of resources, expand economic scale, and promote enterprise's petitive ability of important ways. However, Enterprise merger as the enterprise assets anization, as an important form of a kind of enterprise, it can bring opportunities and profit, but also contain great risk. Because there are a lot of uncertainty factors, and the risk exists in the whole process of M&A, any link to appear problem, could lead to a merger of failure in the merger process. Thus, the ess of M&A key lies in whether the risk of evading acquisition works properly handling. This article mainly from the merger of the definition, types and the risk characteristics of each stage, merger and acquisition of risk analysis, risk prevention countermeasures enterprises is discussed in three aspects.
