文档介绍：毫摘要 Y1 912938 法中的一大亮点,它给予企业重生的机会, 企业的死亡,更意味着企业的涅磐,但是, 的法律,我国在实际上还没有具体的操作经验,因而实践过程中出现了不少问题,特别是在企业重整过程中的监督机制没有起到应有的作用。目前我国关于重整监督机制的立法规定还较为原则,难以具体实施,因此,有必要健全和完善破产重整监督机制,更大限度地发挥破产重整的救济工作,借此也推动理论和立法的不断完善。文章首先从我国破产重整制度作为切入点,具体阐述了重整制度是指在企业无力偿债的情况下,依照法律规定的程序,保护企业继续营业,实现债务调整和企业整理,使之摆脱困境,走向复兴的再建型债务清理制度,以及通过对重整过程中引发的利益冲突进行分析,从而引出设立重整监督机制的必要性,即重整监督机制的设立既对重整过程中各方利益的公正性和客观性的监督,又能保证重整活动的顺利进行;接着对美国、英国以及其他地方的破产法重整程序中的监督制度进行对比研究,分析了国外的一些立法规定,特别是对其多元化的监督主体,完整的责任监督体系等进行整体地阐述;然后通过详细分析我国重整监督制度的现状,指出我国在重整过程中监督t体单一, 监督措施不具体,以及对于监督破产管理人行使职权的监督体制等都存在很大程度上的问题;文章最后对我国的破产重整监督机制提出几点完善的建议,构建独立公正的司法组织体系,完善法院监督,对破产管理人的监督机制进行进一步的细化,使其更好的实行内外监督, 并明确破产管理人的法律责任,在法律上制衡其职权的行使,另外充分发挥其他利害关系主体特别是银行在企业破产重整中的平衡监督作用,最大化的保护债权人的合法权益。关键词:破产重整监督机制破产管理人 China,it lawdoes not only mean thedeathofenterprises,but alsomeans thatenterprises ,because anization system istransplanted, our country infacthave no specificexperience intheoperation,which occurred alotofproblemsduringpracticeprocess,especially monitoring mechanism does not play itscorresponding role inthecorporate restructuring 'China’S legislation on restructuring monitoring system isalsorelativelyprinciple,isdifficult to put into practicalimplementation,therefore,it isnecessary toimprove andperfect thebankruptcy anization supervisionmechanism,bring therelief work ingreatplay,also contributed tothecontinuous improvement ofthe theory andlegislation.
