文档介绍：西南科技大学硕士研究生学位论文第1页摘要本文研究的基本思路是以公司一般理论为基础,从公司社会责任强化的前提出发,研究公司犯罪的责任根据,比较公司犯罪之立法与沿革,架构公司犯罪的责任构造,并对我国公司犯罪之刑罚体系的完善提出若干建议。本文重点探讨三个方面的内容:首先,从公司犯罪的产生发展入手,分析公司犯罪与法人犯罪的关系,并对公司犯罪的类型在动态和静态这两个层面进行分析,以期达到对公司犯罪有一个整体的认识与把握。其次,在公司犯罪主体研究方面,阐述了公司社会责任论这一公司承担刑事责任的法理学依据, 分析了公司作为刑事责任主体的资格和公司刑事责任能力的基础;在公司犯罪主体的认定上,探讨了公司犯罪主体的内涵,并将公司法中的法人人格否认理沦引入对公司犯罪的研究中,以法人人格否认理论为基础来阐述公司犯罪的否定情形。在公司犯罪的客观行为方面,总结概括了公司犯罪行为的特征,对公司犯罪行为之认定进行了分析,并阐述了公司犯罪与公司内部成员个人犯罪的区别及公司犯罪行为的危害结果。最后,文章考察了各国家和地区以及我国刑法中关于法人刑事责任的理论、公司犯罪的处罚原则与具体刑罚适用,提出了我国现行法人犯罪刑罚体系的缺陷,以全面实行双罚制这一处罚原则为基础,对公司犯罪的具体刑罚措施进行了完善。关键词:公司犯罪公司社会责任法人人格否认刑事责任西南科技大学硕士研究生学位论文第1I页 Abstract Based on the general theory pany,with a view pany social responsibility intensification,the thesis isgoing tostudy theresponsibility basis pany crime,set up theliability structure pany crime paring pany crime legislation with itsevolution,and propose some suggestions toimprove the penalty system pany crime in our paper focuses on three aspects:First,it begins with pany crime cause and its development,explores the relationship pany crime and corporate crime and analyzes pany crime categories on both dynamic and static levels,SO as toachieve an overall understanding and mastering pany crime Second,as totheSUbject pany,the paper expounds thejuristic basis pany’S crime responsibility undertaking in accordance with pany social responsibility also analyzes the basis of pany’S qualification asthesubject of thecrime responsibility and pany’S ability ofcriminal the verification of thesubject pany crime,the paper discusses the content oftheSBbjcot pany crime,and introduces the theory ofDisregard ofCorporate Personality pany Law pany crime study,in order to explain the negation pany to the objective behavior pany crime,the paper sums up characteristics of criminal acts,analyzes the verification pany crime,and explains the distinction pany criminal and individual staffmember crime as well as pany crime’S harmful ,the paper examines diffe
