文档介绍：摘要独立董事制度最早起源于英美法系国家,目的是完善上市公司法人治理结构,防止“内部人控制”,保护中小投资者利益,并且在西方近二三十年的实践中己证明该制度是很有成效的,而且,独立董事制度的监督与平衡已被西方企业确立为一个良好的法人管理模式的基本原则。从我国开始有上市公司那一天起,我国上市公司中就一直存在着“一股独大”和“内部人控制”等治理结构问题,大股东利用关联交易、虚假出资转移公司资产,编制虚假年报欺骗中小股东,使中小股东利益受到损害。为了保护ep4,投资者的利益,完善我国上市公司的法人治理结构,提高上市公司的经营管理水平和赢利能力,20世纪90年代我国上市公司开始引入独立董事,中国证监会于2001年8月22日发表了《关于在上市公司建立独立董事制度的指导意见》,把独立董事制度作为完善我国公司治理结构的重要举措对上市公司做出要求。在理论上,引入独立董事制度有利于加强对大股东的监督,保护中、小投资者的利益,有利于提高公司的经营管理水平和绩效,但是,由于我国关于独立董事制度的法律、制度还很不健全,以及存在着独立董事缺乏独立性,缺少激励、约束等实际问题,独立董事制度尚没有发挥出预想的作用,有悖于管理层的初衷和人们的期待。本文针对上述问题,对独立董事在我国上市公司中的发展及所存在的问题进行了分析,并且在前人研究的基础上对我国独立董事制度的改进问题进行了迸一步的思考。本文共分四章:第一章为独立董事概述,主要介绍了独立董事制度的相关背景知识,包括独立董事的概念,其产生、发展的历程以及独立董事制度产生的理论基础:第二章介绍了独立董事在我国的发展以及我国引入独立董事制度的原因;第三章主要是分析独立董事制度在我国的现状以及在上市公司中未能发挥作用的具体原因:第四章针对这些原因,结合其他学者的观点,提出了~些自己的具体改进意见。关键词:独立董事,独立性,公司治理ABSTRACTIndependent director system has achieved some ess in the Westernto improve COrporate governance structure,protect the interests of mediurnand small stockholders as a institutional arrangements to prevent“intemalcontrol”.Wjstem enterprises have established the good corporategovernance management public panies in China always suffer from 1000rCorporate Governance Mechanism and the interests of the medium andsmall stockholders are ordel"to regulate Chinese securities markeLensm-e the interests of the medium and small stockholders,further improvethe governance structure of panies,standardize their operation,Inthe 20th Century 1990s,China's p卸llies a坤starting to dcut directors,and public people have given their concern onindependent directors on August 22,in 2001,the ChinaSecurities mission published the‘'the guidance advice”todemand the panies to establish the independent directors systemto improve COrporate governance the implementation of thisinstitution has not been very satisfactory SO far due to some problem such as1aws。regulations,independence of independent director,incentive andrestriction paper analyzes the development an
