中国商业银行引进境外战略投资者的效应分析及政策建议

摘要
金融是现代经济的核心,金融市场的稳定关系到国家经济的稳定,为此,
金融体制改革是完善社会主义市场经济体制的重要组成部分。自中国加入 WTO
后,承诺入世 5 年内对外资银行全面开放,许多外资银行纷纷到中国设立办事
处、营业机构,逐步制定调整在华的发展战略,特别是在战略投资入股商业银
行方面表现了积极行为,并借此机会充分利用中资机构在机构网点、清算系统
等方面的资源优势,加强业务合作,以最低的成本实现利润最大化。中国银监
会对外资参股中资银行进行了积极的政策引导,制定了一系列制度办法,维护
入股各方的利益。中资银行对外资银行入股中资银行也表示了积极的态度,先
是中小股份制银行纷纷引进战略投资者,然后是国有商业银行的股份制改造及
战略投资者的引进,成为人们关注的焦点。我国商业银行与境外战略投资者进
行合作对于双方来讲都是一种双赢甚至是多赢的战略选择。根据金融全球化和
自由化的发展趋势,可以预言,今后几年中,外资银行参股中资银行的行为将
会比较频繁。
毫无疑问,我国商业银行改革需要借助外力来推动,引进有经验、合格的
境外战略投资者不仅能够充实银行的资本金,优化股权结构,还可以带来先进
的管理经验、技术和产品,增强金融机构的市场竞争力,提升其在国际市场上
的形象,有利于其到海外市场的发展与融资,最重要的是有助于推进商业银行
形成良好的公司治理结构。
同时,我们还要对引资过程中可能带来的问题和己经出现的不良苗头给予
高度警惕。只要遵循中国银监会确定的引进境外战略投资者的原则和标准,留
意可能产生的各种问题,我们就可以在维护国家利益的前提下,有效地利用境

外投资机构的资本、先进经验和技术,促进中国银行业扩大开放、深化改革、
创新发展,不断增强中。

Finance is the core center of the modern economy, the stability of the
finance market attributes to the stability of the national economy.
Therefore,the reform of the financial system is an ponent of
completing socialist market economy system.
After entering into WTO, and promising to be fully open to the foreign
invested banks in five years, many foreign invested banks set up offices;
business unit in China and adjust their development strategies step by
step, they are especially active in cooperation with the Chinese banks, to
utilize their resource strengths anizations,and clearings, so as to
make the biggest profit by the lowest cost.
China Bank mittee has constituted a series of rules and
regulationsto protect the interests of both sides by positive policy for the
Chinese invested banks.
As for the Chinese banks, without a doubt , some middle and
small-sized banks introduced strategic investment, which is followed by
