外国公司法的最新发展及对中国公司法的启示

摘要
经济的全球化和一体化不仅带来了公司法理念的更新,也推动了各国立法
的发展。为了顺应时代发展的需要,各国政府纷纷对其公司法进行修改,修法
成为全球性的潮流。各国公司法现代化改革均是在世界经济全球化、一体化的
历史背景下,以信息技术革命为动力所进行的自觉变革。各国都期望通过公司
法的现代化融入国际社会,提高本国公司参与国际市场的竞争实力。而经济的
全球化和一体化也使得各国的民商法律制度,尤其是公司法律制度呈现出新的
发展态势:这就是相互之间的差异逐步缩小,国际化、趋同化的特点越来越明
显。因此,国外公司法的实践可以为我们提供一种有益的借鉴,甚至我们可以
对他们的公司法制度直接移植适用。我国公司法经过多次修改其中以年的
修订幅度最大。年公司法对传统公司法有多方面的理论突破和制度创新。
即使如此, 年公司法仍存在一些不足,需要以后阶段性、中度的修改进
行新一轮的制度创新使《公司法》愈来愈完善。本文选取了英美法系和大陆法
系代表性的国家——美国、英国、德国和日本这四个国家公司法的最新发展作
为研究对象,以其公司立法理念,股权保护和公司治理方面的修改动态作为研
究的主要内容,在与我国进行对比的基础上来衡量国外的法律制度在我国本土
上的适用性。本文的结论是我国公司法在立法理念、股权保护和公司治理等方
面虽然存在一些具体实施中的缺陷和不足,但是我国年公司法在许多方面
的改革已经趋同于公司法的世界发展趋势。

Abstract
The economic globalization & integration brings not only the new philosophy pany law,
but also the development of legislation in many countries. In order to keep pace with the social
charge, these countries have been modifying pany laws, which e to be the world
fashion. At the background of economic globalization & integration, the modernism reform of
company law goes with the technology development voluntarily. Each sate wishes to go to the
international platform pany law modernism that makes them petitive in the world
market. At the same time, the economic globalization & integration give the system of civil law and
business law, especially pany law new trend, that is, internationalization and similarities
es the main trend instead of the differences among them. Therefore, the pany law
practice can give us some inspiration; even we can use pany law system into ours directly.
After several amendments, pany Law was amended the most. And the 2005 Amendment
has many theoretical breakthroughs and system innovation, compared with pany law.
Even so, the new Amendment still has ings and in the future it needs phased and moderate
