健全我国上市公司独立董事独立性保障机制的构思

摘要
独立董事制度最早起源于世纪西方英美等国家。作为一种防止“内部人
控制”,完善上市公司法人治理结构,保护中小投资者利益的制度安排。年
月日中国证监会发表了《关于在上市公司建立独立董事制度的指导意见》,
把独立董事制度作为完善我国公司治理结构的重要举措正式引入我国。
对于独立董事制度而言,独立性是其核心和灵魂。是指独立董事与其持
股股东和公司经营者之间不存在可能妨碍其进行独立客观判断的关系,并且
具有抓住商业事件本质,敢于表达出自己观点的素质、意愿和能力。文章以
独立董事的独立性为研究的切入点,结合中国实际,试图对确保我国独立董
事现实独立性的相关机制的健全问题进行研究,并期待本文对于我国独立董
事制度的发展与完善,构建有中国特色的独立董事制度具有一定的借鉴意义。
文章包括结束语在内共章节,七个部分。其中第一部分是绪论,从写作
背景、选题意义、国内外研究现状等方面进行总体性论述;第二、三部分主
要阐述了独立董事制度的理论基础、独立性涵义及相关界定;第四部分从我
国独立董事制度运用现状分析影响我国独立董事独立性的相关因素;第五部
分和第六部分是该文章的主体,它们分别从静态和动态的角度探讨了如何确
保独立董事的独立性。具体说来,第五部分从独立董事的任免资格、选拔机
制以及独立董事人数等静态的角度探讨如何确保独立董事静态的独立性,第
六部分则从独立董事激励机制以及约束机制等的改善以确保独立董事动态的
独立性,其中重点是结合我国实际情况对独立董事的选拔机制的优化、独立
董事激励与约束机制的健全等相关问题的研究。

Abstract
The independent director originated from such countries as western America
and Great Britain in the 19th centuries, etc. It has already received certain effect in
practice: Perfecting the corporate governance structure of pany and
arranging in system of protecting the interests of medium and small investors. On
August 22th, 2001, China’s Securities mission published “The
instruction about setting up the independent director’s system in the listed
company”, which regards independent director system as an important action of
perfecting administration structure was introduced into our country.
As to the independent director system, independence is its core and soul. The
independence means that there must be no relations between independent directors
doing their works. And the independence also means that independent directors
can mercial incident essence and dare to express their own view. On the
basis of the independence, with the realities in China, this article tries to research
the mechanisms of ensuring the practical independence of the independent director
and hopes it will be worth to construct the C
