本文围绕股份制商业银行并购这一中心议题把全文分为四个部分来进行阐
述第一部分是关于企业并购的概述介绍了兼并与收购的概念企业并购的模
式和兼并与收购的理论和假说等基本问题进而简要回忆了世界和我国企业并购
的发展情况第二部分开始进入正题详细的阐述了关于银行并购的理论包括
银行并购的概念类型动因效应成本和风险等诸多内容第三部分详细记
述了国际上迄今为止曾发生过的五次银行并购浪潮并较为全面的归纳了每一阶
段的不同特点最后对全球银行业并购的未来发展趋势做出了分析和预测第
四部分是全文的落脚点主要分析了关于股份制商业银行并购的内容其中包括
股份制商业银行并购的原因同国有商业银行并购的联系我国股份制商业银行
并购的初步成效仍存在的若干问题及我国股份制商业银行并购的策略
在进行这四个部分的分析过程中本文穿插了部分银行并购的实际案例从
而使文章的分析更具体更形象也为枯燥的理论分析增添了一些生气使文章
中所表述的道理更容易被人理解和接受
全文的布局和内容安排是本文作者精心思考后的结果在具体的理论分析中
作者下了很大的功夫并提出了一些自己的观点和看法希望能有机会与各位读
者共同探讨银行并购这一问题

ABSTRACT
The core of this paper is the mergers and acquisitions of stock holding
commercial banks after the accession of WTO. The stock mercial banks
of China will surely experience a large-scale and deep M&A process. This trend
comes from two aspects: one is the stock mercial banks merger other
banks or non-bank financial institutions for their existence and development under
the pressure of foreign banks; the other is that foreign banks merger the stock
mercial banks of china for their development in China.
This paper can be separated into four parts: the first one is the M&A of
enterprises, including the definition of M&A, the pattern of M&A and the theory of
M&A etc, at the same time relate the process of M&A in the world and China; the
second one is about the theory of banks’ M&A, including definition, types, reasons,
effect, costs and risks etc; the third one is the five famous M&A movement in the
world, pointing out the different characters of each movement and the trend of
M&A in the future; the fourth one is the most important one, concerning the M&A
of the stock mercial banks, including the reason of M&A, the relat
