文档介绍:华东政法学院硕士学位论文论约定竞业禁止姓名:徐连成申请学位级别:硕士专业:法律·民商法学指导教师:李锡鹤 20061029 论约定竞业禁止(硕士论文摘要) 专业:民商法学研究方向:知识产权作者姓名:徐连成指导教师:李锡鹤№0139-81 约定竟业禁止是雇主利用合同或者合同条款的形式,对雇员的从业行为进行限制,以实现其保护特定利益的目的。雇员离职后的竞业禁止是该类约定最典型的形式之一。竞业禁止具有两面性,一方面能够对保护商业秘密,反不正当竞争, 维护公平、合理的竞争秩序发挥作用;另一方面又不可避免地限制了公民的择业自由,因而经常受到质疑。由于竞业禁止的立法缺失,导致司法判断的不确定性, 反过来又使当事人对如何签订合格的竟业禁止协议产生困惑。正缘于此,本文在总结国内外相关理论的基础上,拟对约定竞业禁止作一全面、系统的研究,以期对立法、司法实践有所裨益, 第一章在引出竞业禁止概念的基础上,对竞业禁止中雇主要求不竞业和雇员意图竞业的经济学和法理学依据、竟业禁止保护的利益对象等逐-:OH以分析,肯定竟业禁止制度设定的价值所在。第二章明确认定竞业禁止协议效力的原则、审查协议效力的合法性和合理性标准,同时指出非合同因素对协议效力的影响。第三章分析雇主在遭遇违约行为时,寻求司法救济的三种途径。探寻以“不可避免披露”原则为基础,引入竞业禁止禁令制度;比照知识产权侵权确定损害赔偿的途径,引入定额赔偿方法的可行性。第四章是对竞业禁止中常见的仲裁前置程序的适用、瑕疵合同效力的认定, 醴及就新雇主的执意雇佣行为是否应承担民事责任等疑难问题进行探讨。【关键词】:竞业禁止商业秘密合法性合理性合同效力 Onagreement upon proh b it on of bus ness str fe (Abstract of Thesis for ) Major:Civil mercial Law Research Direction=Intel lectual Property Law huthor:Xu Liancheng Tutor:Li Xihe Agreement upon prohibition ofbusiness strife is one of the forms of contracts or contract terms which are used by employers to restrict employees’conducts and to protect their special ofthe most typical forms of this kind of conventions is the prohibition of business strife after speaking,it has double edges, on one side itcould protect trade secrets,counter petition, safeguard fair petition order:however,on the other side itinevitably restrict people’S right tochoose work freely,SO italways itis agap in our regulations,it leads touncertainty when the judges judge the cases,and conversely itbrings on two parties confusion upon how to sign a qualified agreement of prohibition of business on thebasis ofrelevant theories both here andabroad, this text will do an overall and systematic research on it,and it is expected that itwill be helpful both to our legislation and judicial practice.
