Manager发盘(Offer)
• 1、发盘的含义
– 发盘:又叫发价或报价,法律上叫要约,是指交
易的一方(发盘人)向另一方(受盘人)提出购买或
出售某种商品的各项交易条件,并表示愿意按
这些条件与对方达成交易,订立合同的行为。
• 发盘可由卖方提出,叫售货发盘;也可由买方提出,
叫购货发盘。发盘(Offer)
• 2、发盘的构成要件
– 向一个或一个以上的特定人(Specific Person)提出
• 提出此条件是为了把发盘同普通商业广告及向广大公
众散发的商品价目单等行为(邀请发价)区别开来。
• 对商业广告是否构成发盘的不同认识
– 发盘的内容必须十分确定(Sufficiently Definite)
• 《公约》规定,所谓十分确定应包括三个基本因素:
品名、数量和价格。
• 我国外贸实践中应列明主要交易条件,包括:品名和
品质、数量、包装、价格、交货和支付方法等。
– 表明经受盘人接受发盘人即受约束的意思
• 发盘必须表明订约意旨(Contractual Intent),如:
发盘、实盘、递实盘或订货等。
• 若发盘中附有保留条件,如:“以我方最后确认为准”
,或“有权先售” 等,则此建议不能构成发盘,只能视
为邀请发盘(Invitation for Offer)。发盘(Offer)
• 3、发盘的有效期(Time of Validity或 Duration of Offer)
– 明确规定有效期
• 明确规定有效期并非构成发盘不可缺少的条件。
