3、发行人2007年第一次临时股东大会决议之内容合法有效。　
　　　
4、发行人2007年第一次临时股东大会授权董事会办理本次发行相关事宜的授权范围、程序合法有效。　　
　　　
二、发行人本次发行的主体资格　
　　　
1、经本所律师核查，发行人是依照《公司法》的规定，并经贵州省人民政府《关于同意设立贵州赤天化股份有限公司的批复》（黔府函[1998]208号）批准，设立的股份有限公司。　　
　　　
2、发行人已经中国证监会《关于核准贵州赤天化股份有限公司公开发行股票的通知》（证监发行字[1999]152号）核准，并经上海证券交易所同意，其股票在上海证券交易所交易市场上市交易，证券简称“赤天化”，证券代码为“600227”。　　
　　
3、发行人依法在贵州省工商行政管理局注册登记，现时持有的《企业法
