  合同法的宗旨与目标是什么？它是保护意思自治吗？还是保证诺言的强制执行？抑或是弥补当事人意思缺陷？不同的学者有着不同的答复。有的从商品经济与合同一般关系作了说明；有的那么从纯经济学角度或法学的角度作出答复。如有学者认为：“合同法的目标就是鼓励交易〞①；也有学者认为：“契约法的根本功能〔至少自霍布斯时代起就这么认为〕是阻止人们对契约的另一方当事人采取时机主义行为，以促进经济活动的最正确时机选择〔the optimal timing of ecnomic activity〕,并使之不必要采取本钱昂贵的自我保护措施。〞②“它的另一个重要功能是：通过参加遗漏条款而使当事人的协议变得更为美满。〞③还有的学者通俗地理解为：“合同法的目的在于达成交易，〞“合同法的作用在于总结人们的交易习惯，规定统一的交易标准和术语，以免当事人每次签定合同都不得不就每个细节问题订立烦琐的合同条款，从而减少交易本钱，便于当事人达成合意，促进交易。〞④或者认为“合同法的根本目标是使人们能够实现其私人目的。〞⑤我国?合同法?第一条规定的合同法宗旨是：“为了保护合同当事人的合法权益，维护社会经济秩序，促进社会主义现代化建设，制定本法。〞
